What Anthropic filed

Anthropic said on 26 October 2026 that it had filed a registration statement on Form S-1 with the US Securities and Exchange Commission for a proposed initial public offering of its Class A common stock. The company has applied to list on the Nasdaq Global Select Market under the symbol ANT. The number of shares and the price range have not yet been determined. Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC are named as the firms from which copies of the preliminary prospectus can be obtained.

The registration statement has been filed but is not yet effective, so the shares cannot be sold until the SEC declares it effective. The S-1 on EDGAR describes the registrant as Anthropic, PBC, a Delaware public benefit corporation incorporated in January 2021, with its principal executive offices in San Francisco. The filing states that Anthropic will be a controlled company under Nasdaq rules after the offering.

What the numbers say

The S-1 reports revenue of $41 million in 2023, $386 million in 2024 and $4.6 billion in 2025, which the filing describes as year-over-year growth of 841% and 1,088%. Revenue for the six months ended 30 June 2026 was $16.3 billion, up from $1.2 billion in the same period of 2025. Revenue for the three months ended 30 June 2026 was $11.6 billion, and the filing reports operating income of $1.0 billion and an operating margin of 8% for that quarter.

Losses remain large. The filing lists net losses of $1.5 billion, $8.3 billion and $42.0 billion for 2023, 2024 and 2025, and a net loss of $80.7 billion for the six months ended 30 June 2026. The operating loss for those six months was $693 million, down from $2.1 billion a year earlier, so most of the net loss sits below the operating line. The filing says Anthropic has incurred net losses every year since its founding and may not reach profitability.

On customers, the filing says the number of customers with $100,000 or more of revenue on a trailing twelve-month basis grew from more than 950 on 30 September 2025 to more than 11,900 on 30 September 2026. Net Revenue Retention was approximately 900% as of 30 September 2026. The filing credits agentic products such as Claude Code for much of the expansion and says Claude Opus 5.5 cut customer cost per task by about 40%. A Run-Rate Revenue figure as of 31 October 2026 is left blank in this version of the filing.

Why the filing matters

This is the first registration statement from one of the frontier AI labs, and it puts audited financial statements for an AI model developer in the public record. The gap between a $693 million operating loss and an $80.7 billion net loss in the same six months is the figure to read closely in the full document, since it will shape how the market values the business. The filing also comes one day before Anthropic announced a wider discount deal with the US General Services Administration, which is covered separately under AI in Industry.

What to watch next

The next steps are an amended S-1 with the share count and price range, the SEC's effectiveness decision and the pricing date. None of these dates are stated in the announcement. The filing's Run-Rate Revenue figure for 31 October 2026 should appear in a later amendment. The IPO is listed on the AI funding tracker, and later amendments will be added to the AI Business & Funding section.
